Confidentiality Agreements
If researchers wish to discuss their unpublished or unpatented work with a third party, such as a commercial entity or external academic it is essential that all verbal discussions or transfer of Confidential Information is carried out under the cover of a Non Disclosure Agreement (NDA; or Confidential Disclosure Agreement (CDA) ).
This agreement clearly defines what the Confidential Information is and nature of the discussion.
There are two types of NDAs;
One-way NDA (template 1-way agreement ) allows for one party to disclose the Confidential Information to another; and
Two-way NDA (template 2-way agreement) allows for both parties to disclose Confidential Information.
An authorised signatory from the TR&I section must sign off on these agreements on behalf of the University in order for them to be valid.
